Overage or (sometimes called clawback) goes in and out of favour and usually arises where the landowner wants to make sure that having agreed a price with a developer and completed the sale to it that the developer does not then go on to modify any planning permission obtained on the land or dispose of it for alternative more profitable uses. Overage ensures that if the developer seeks to do this following its purchase of the land then any additional profits are shared with the landowner pursuant to a particular agreed percentage.
